PROJECTS
This section contains information about projects implemented in the area of corporate governance by Russian investors, issuers and international organizations.
The Investor Protection Association and its members are currently participating in and supporting the implementation of the following projects:
- Corporate governance ratings - Investor Protection Association research project “The Role of corporate governance and protection of property rights during globalization of economy and the Russian accession to WTO" supported by "The Eurasia Foundation";
- OECD Corporate Governance Roundtable in Russia
- Independent Directors - promotion of independent directors to Boards of Directors of Russian issuers through joint efforts aimed at promoting representatives of minority shareholders to governing bodies of Russian issuers in order to ensure protection of shareholders rights. At present, 19 representatives of investors were elected to Boards of Directors of 25 Russian companies;
- ADR Programs - under the existing Depositary Agreements between The Bank of New York and Russian issuers ADR owners are often unable to duly execute their shareholder rights granted by the Russian legislation. The Investor Protection Association prepared and presented the list of suggestions to interested parties, including The Bank of New York, for consideration and further actions;
- Dividends - one of the typical examples of abuses in the area of corporate governance is non-payment of announced dividends. The Investor Protection Association tries to provide assistance to shareholders in order to ensure their right for dividends in case of such violations;
- Issuers - The Investor Protection Association actively participates in mediation of a number of conflicts between the management of Russian enterprises and minority shareholders for the purposes of protection of rights and legitimate interests of investors.
- Forum of business leaders - The Prince of Wales International Business Leaders Forum in partnership with the Russian Investor Protection Association aim this programme at mobilising international business behind the drive to improve corporate governance in Russia, developing and promoting a network for practical exchange of experience and practice, and at building skills and capacity to understand and implement practical corporate governance initiatives.
